Terms and Conditions

Last updated: [22 September 2026]

These terms apply when you use the Field Goose website, the Field Goose app, or the Field Goose portal. By signing up, logging in or using any of them, you agree to these terms. If you’re accepting on behalf of a business, you confirm you have authority to bind that business.

Please read the clauses in bold carefully. They limit our liability, place risk or responsibility on you, or require you to indemnify us. We have highlighted them as required by section 49 of the Consumer Protection Act 68 of 2008.

1. Who we are

1.1 Field Goose is operated by [Field Goose (Pty) Ltd] (“Field Goose”, “we”, “us”, “our”), a private company registered in South Africa. The Field Goose platform replaces the platform previously known as Perigee.

1.2 Our physical address, which is also our address for legal notices, is Colab House, 5 Zulberg Close, Bruma, Johannesburg, 2198.

1.3 You can reach us at info@fieldgoose.co.za or 011 436 9020. For support, email support@fieldgoose.co.za or WhatsApp +27 83 353 2230. For privacy questions, contact our Information Officer at privacy@fieldgoose.co.za.

2. What these Terms cover

2.1 These Terms and Conditions (“Terms”) govern your access to and use of:

(a) the Field Goose website;

(b) the Field Goose mobile application (“App”) used by field staff; and

(c) the Field Goose management portal (“Portal”), including dashboards, the trade gallery, reports and related tools,

(together, the “Services”).

2.2 These Terms apply to:

(a) Clients: businesses such as merchandising, field marketing, brand activation and sales companies, and brand owners, that subscribe to the Services;

(b) Admin Users: people a Client authorises to use the Portal; and

(c) Field Users: sales reps, merchandisers, brand ambassadors and other field staff a Client authorises to use the App.

2.3 If a Client has signed a separate service agreement, order form or quotation with us, that document applies together with these Terms. If there is a conflict, the signed document wins.

2.4 By registering, logging in, or using the Services, you confirm that you have read and accept these Terms. If you accept on behalf of a business, you confirm that you have authority to bind that business.

3. The Services

3.1 Field Goose is a field execution and retail data platform. Depending on the Client’s plan, the Services may include:

(a) GPS-based check-in and check-out, time and attendance tracking, and time-in-store and time-between-stores measurement;

(b) photo capture in trade, including tagging and comments;

(c) custom forms, form approval and form management;

(d) tasks created in the App or the Portal and sent to selected stores and Field Users;

(e) activity feeds;

(f) a trade gallery with filtering;

(g) downloadable and scheduled email reports; and

(h) custom development such as automated Excel reports, dashboards and automated PowerPoint presentations.

3.2 We may improve, change or remove features from time to time. If a change materially reduces the core Services a Client pays for, we will give reasonable notice.

3.3 The Services are tools to help Clients manage their field operations. We do not supervise, employ or manage any Field User, and we are not responsible for the work Field Users do in trade.

4. Accounts and access

4.1 Clients control who gets access. The Client is responsible for creating, managing and removing Admin User and Field User accounts, including promptly removing access for staff who leave.

4.2 You must keep your login details confidential. You are responsible for all activity under your account unless you tell us promptly that your account has been compromised. Report suspected unauthorised access to support@fieldgoose.co.za.

4.3 You must give accurate information when registering and keep it up to date.

4.4 Accounts are for individual people. Logins may not be shared.

5. Acceptable use

5.1 You must not:

(a) use the Services for any unlawful purpose or in breach of any law, including the Protection of Personal Information Act 4 of 2013 (“POPIA”) and the Cybercrimes Act 19 of 2020;

(b) falsify check-ins, locations, photos or form submissions, or use GPS-spoofing or similar tools;

(c) upload content that is unlawful, defamatory, obscene, discriminatory, or that infringes anyone’s rights;

(d) photograph members of the public in a way that identifies them, where this is not necessary for the task;

(e) try to gain unauthorised access to the Services, other accounts or our systems, or interfere with their security or performance;

(f) copy, reverse engineer, decompile, resell, sublicense or build a competing product from the Services; or

(g) use automated tools to scrape or extract data from the Services, except through features or integrations we provide.

5.2 Clients are responsible for obtaining any permission required from retailers, store owners or property owners to enter premises and take photographs in trade, and for complying with each retailer’s in-store rules.

5.3 We may suspend or restrict access if we reasonably believe these Terms are being breached. Where practical, we will notify the Client first.

6. Location tracking and field staff

6.1 The App uses the device’s location services to record check-ins, check-outs and related activity. Location is recorded while the App is in use for these purposes, as described in our Privacy Policy.

6.2 Each Client is responsible for:

(a) having a lawful basis under POPIA to process its Field Users’ personal information, including location data, photos and attendance records;

(b) informing its Field Users, as required by section 18 of POPIA, that their location, attendance and activity will be recorded and shared with the Client (and, where relevant, the Client’s own customers);

(c) ensuring that its use of this information complies with labour law, its employment or contractor agreements, and any applicable workplace policies; and

(d) using tracking data fairly and only for legitimate business purposes.

6.3 Field Users bear their own mobile data costs unless their employer or principal has agreed otherwise. The App needs a compatible device, location services and mobile network or Wi-Fi coverage to sync.

7. Data protection and POPIA

7.1 We take the protection of personal information seriously and process it in line with POPIA and our Privacy Policy at www.fieldgoose.co.za/privacy-policy, which forms part of these Terms.

7.2 Roles under POPIA. For personal information about Field Users, Admin Users and other people captured through the Services on a Client’s behalf (“Client Personal Information”):

(a) the Client is the responsible party; and

(b) Field Goose acts as the Client’s operator (as defined in POPIA).

For information we collect for our own purposes, such as website enquiries, billing contacts and marketing, Field Goose is the responsible party.

7.3 As operator, we will:

(a) process Client Personal Information only on the Client’s documented instructions and to provide the Services, unless the law requires otherwise (section 20 of POPIA);

(b) treat it as confidential;

(c) keep appropriate, reasonable technical and organisational security measures in place (section 19 of POPIA);

(d) notify the Client without undue delay if we reasonably believe the information has been accessed or acquired by an unauthorised person (sections 21 and 22 of POPIA), so that the Client can meet its own notification duties to the Information Regulator and data subjects;

(e) ensure our staff and sub-processors who access it are bound by confidentiality;

(f) help the Client, where reasonable, to respond to data subject requests for access, correction or deletion; and

(g) delete or return Client Personal Information when the Services end, as set out in clause 12.6.

7.4 Hosting and cross-border transfers. Some of our service providers, including cloud hosting, email and analytics providers, may store or process information outside South Africa. Where this happens, we will only transfer personal information in line with section 72 of POPIA, for example where the recipient is subject to laws or binding agreements that give an adequate level of protection.

7.5 Your rights. Data subjects may ask to access, correct or delete their personal information, or object to its processing. Field Users should normally direct requests to their employer or principal (the Client), and we will assist the Client. You may also contact our Information Officer at privacy@fieldgoose.co.za. You have the right to lodge a complaint with the Information Regulator (www.inforegulator.org.za).

7.6 Direct marketing. We will only send electronic direct marketing in line with section 69 of POPIA. You can unsubscribe at any time using the link in our messages.

7.7 Our PAIA manual, prepared under the Promotion of Access to Information Act 2 of 2000, is available at www.fieldgoose.co.za/paia-manual or on request.

8. Your content and data

8.1 Ownership. As between us, the Client owns the data, photos, form responses and other content captured through its account (“Client Data”).

8.2 Licence to us. The Client gives us a non-exclusive licence to host, store, process, copy and display Client Data only as needed to provide, secure, support and improve the Services.

8.3 Aggregated data. We may create anonymised, aggregated statistics from use of the Services (for example, average visit durations across the platform) to improve our products. This data will not identify any Client, Field User, or other individual.

8.4 Client responsibility. The Client is responsible for the accuracy, quality and lawfulness of Client Data, and for the instructions it gives Field Users.

9. Intellectual property

9.1 We (or our licensors) own all intellectual property in the Services, including the Field Goose name and logo, the App, the Portal, software, designs, report templates and documentation.

9.2 We grant Clients and their authorised users a limited, non-exclusive, non-transferable right to use the Services for the Client’s internal business purposes during the subscription.

9.3 Unless agreed otherwise in writing, custom development such as bespoke reports, dashboards and presentation automation remains our intellectual property, and the Client receives a licence to use the outputs for its business. Reports and presentations generated from Client Data may be freely used by the Client.

9.4 If you send us feedback or suggestions, we may use them without any obligation to you.

10. Pricing, invoicing and payment

10.1 Plans. We offer Standard plans, which are purchased and paid for through our website, and Enterprise plans, which are set out in a signed agreement or quotation. Fees consist of a monthly fee per Field User and, where the plan charges for them, a monthly fee per Portal user above the number included in the plan. Current pricing is shown on our pricing page (www.fieldgoose.co.za/pricing) or in the Client’s quotation.

10.2 Standard plans. Standard plans are billed monthly in advance, based on the number of Field User seats (and any chargeable Portal user seats) the Client has purchased. Payment is taken automatically through our payment provider, Payfast (payfast.io), on each billing date, using the payment method the Client selects, and the subscription renews monthly until cancelled. Seats added during a billing period are charged pro-rata immediately. Seat reductions take effect from the next billing date. No refunds or credits are given for part periods. We do not store full card details; these are processed and held by our payment provider.

10.3 Failed payments on Standard plans. If a payment fails, we will notify the Client and retry the payment over the following 7 days. If the payment is still unsuccessful after that period, we may suspend access to the Services until the outstanding amount is paid. Client Data is kept during suspension and dealt with under clause 12.6 if the subscription is terminated.

10.4 Enterprise plans. Unless the Client’s agreement says otherwise, Enterprise plans are invoiced monthly in arrears, based on the number of Field User accounts (and any chargeable Portal user accounts) enabled on the Client’s account at any time during that month. Invoices are payable within 30 days of the invoice date by EFT or debit order.

10.5 Custom development (including custom dashboards, automated reports and automated presentations) is not included in subscription fees. It is quoted and billed separately.

10.6 All prices are in South African Rand and exclude VAT, unless stated otherwise.

10.7 If an Enterprise invoice or any other amount is paid late, we may charge interest on the overdue amount at the rate prescribed under the Prescribed Rate of Interest Act 55 of 1975 from the due date until paid, and, after giving at least 7 days’ written notice, suspend access to the Services until the account is settled.

10.8 We may change our prices by giving at least 30 days’ written notice. Changes apply from the next billing period. If you do not accept a change, you may cancel under clause 12 before it takes effect.

10.9 Free trials and demos are provided as they are and may be ended at any time.

11. Availability and support

11.1 We aim to keep the Services available and working properly, but we do not guarantee uninterrupted or error-free operation. We may carry out scheduled maintenance, and will try to do so outside normal business hours.

11.2 The Services depend on things outside our control, including mobile network coverage, internet connectivity, device compatibility, third-party app stores, cloud hosting providers and electricity supply (including load-shedding). We are not responsible for disruptions caused by these factors.

11.3 Support is available Monday to Friday from 08:00 to 17:00 and on Saturdays until 14:00, via support@fieldgoose.co.za and WhatsApp on +27 83 353 2230. Support is not available on Sundays or public holidays.

11.4 Clients should keep their own copies of any reports or data they need to rely on. Export and reporting tools are provided for this purpose.

12. Term, cancellation and termination

12.1 Standard plans run month to month. Enterprise plans run month to month unless the Client has agreed to a fixed term in a signed agreement.

12.2 Standard plans may be cancelled by the Client at any time through the Portal. Cancellation takes effect at the end of the current billing period, and access continues until then. We may cancel a Standard plan on one calendar month’s written notice.

12.3 Month-to-month Enterprise plans: either party may cancel on one calendar month’s written notice.

12.4 Fixed-term agreements: where the Consumer Protection Act applies to a Client, the Client may cancel a fixed-term agreement on 20 business days’ written notice, subject to a reasonable cancellation penalty as allowed by section 14 of that Act. Fixed-term agreements will not exceed 24 months unless the law allows otherwise.

12.5 We may terminate or suspend the Services immediately by written notice if a Client:

(a) materially breaches these Terms and does not fix the breach within 14 days of written notice;

(b) fails to pay undisputed fees after notice under clause 10.3 or 10.7; or

(c) becomes insolvent, is placed under business rehabilitation or liquidation, or makes an arrangement with its creditors.

12.6 After termination:

(a) access to the Services ends;

(b) all outstanding fees become payable;

(c) the Client may request an export of Client Data within 30 days of termination; and

(d) after that period, we will delete or de-identify Client Data within a reasonable time, unless the law requires us to keep it longer (in line with section 14 of POPIA).

13. Warranties and liability

13.1 We will provide the Services with reasonable care and skill.

13.2 Except as expressly set out in these Terms, and to the extent permitted by law, the Services are provided “as is” and “as available”, and we give no other warranties, express or implied, including that the Services will meet every specific requirement or that GPS and location readings will always be precisely accurate.

13.3 To the extent permitted by law, we are not liable for any indirect, special or consequential loss, including loss of profit, revenue, contracts, goodwill or data, however it arises.

13.4 To the extent permitted by law, our total liability to a Client for all claims arising in any 12-month period is limited to the subscription fees the Client paid us for the Services in the 3 months before the event giving rise to the claim.

13.5 We are not liable for decisions a Client makes based on data captured through the Services, including decisions about the pay, discipline or employment of Field Users.

13.6 Nothing in these Terms limits or excludes liability that cannot lawfully be limited or excluded, including liability for gross negligence, fraud or wilful misconduct, or any rights a Client has under the Consumer Protection Act that cannot be waived.

14. Indemnity

14.1 The Client indemnifies us against claims, losses, fines and reasonable legal costs (on an attorney-and-own-client scale) arising from:

(a) the Client’s or its users’ breach of these Terms;

(b) the Client’s failure to comply with POPIA or labour law in relation to its Field Users; or

(c) Client Data that infringes anyone’s rights or breaks the law.

15. Confidentiality

15.1 Each party will keep the other party’s confidential information secret and use it only for the purposes of these Terms. This does not apply to information that is public (other than through a breach), that a party already lawfully had, or that must be disclosed by law or court order.

15.2 Where the parties have signed a separate non-disclosure agreement, that agreement also applies.

16. Force majeure

16.1 Neither party is liable for failure or delay in performing its obligations (other than payment obligations) caused by events beyond its reasonable control, including natural disasters, pandemics, civil unrest, strikes, load-shedding or failure of the national electricity grid, network outages, cyber-attacks not caused by that party’s negligence, or government action.

17. Third-party services and links

17.1 The Services may integrate with or link to third-party services such as app stores, payment providers, Microsoft Power BI, email providers and mapping services. Your use of those services is governed by their own terms. We do not control and are not responsible for third-party services.

18. Changes to these Terms

18.1 We may update these Terms from time to time. We will post the updated version on this page with a new “Last updated” date and, for material changes, notify Clients by email at least 30 days before the changes take effect. Continued use of the Services after that date means you accept the updated Terms.

19. Notices and domicilium

19.1 We choose our physical address in clause 1.2 as our domicilium citandi et executandi for all legal notices. Each Client’s domicilium is the physical address in its account or signed agreement.

19.2 Notices may be given by email to the addresses provided, in line with ECTA, except for legal proceedings, which must be served at a party’s domicilium.

20. Disputes, governing law and jurisdiction

20.1 These Terms are governed by the laws of the Republic of South Africa.

20.2 The parties will first try to resolve any dispute through good-faith discussions between senior representatives within 14 days of written notice of the dispute.

20.3 If the dispute is not resolved, either party may approach a competent South African court. Each party consents to the jurisdiction of the Magistrate’s Court under section 45 of the Magistrates’ Courts Act 32 of 1944, even if the amount in dispute would otherwise exceed that court’s jurisdiction. Either party may still approach the High Court (Gauteng Division, Johannesburg) where appropriate.

20.4 Nothing in this clause prevents a party from seeking urgent relief from a court.

21. General

21.1 Whole agreement. These Terms, our Privacy Policy and any signed agreement or quotation make up the whole agreement between the parties about the Services.

21.2 Severability. If any clause is found invalid or unenforceable, the rest of these Terms remain in force.

21.3 No waiver. A delay or failure to enforce a right does not waive that right.

21.4 Cession. A Client may not cede or transfer its rights under these Terms without our written consent. We may cede our rights and obligations to an affiliate or to a successor of the Field Goose business, on notice to the Client.

21.5 Relationship. Nothing in these Terms creates a partnership, joint venture or employment relationship.

21.6 Electronic signatures and records. The parties agree that acceptance online and electronic records are valid under ECTA.
